A growing med spa in British Columbia was preparing to open a second location. Business was strong, but several legal risks had developed as the clinic scaled.

Injectors were classified as independent contractors but treated like employees, creating potential misclassification exposure. The new commercial lease included a broad personal guarantee and relocation clause. At the same time, the clinic was using patient photos for marketing and experimenting with AI tools for client communication without reviewing privacy implications.

As ongoing legal counsel, we stepped in to address the structure behind the business.

We restructured the clinic’s workforce agreements to clarify contractor relationships. We reviewed and negotiated the commercial lease terms to reduce personal liability and protect future exit flexibility. We also implemented stronger patient consent language and privacy protocols, including guidelines for AI and marketing use, while ensuring compliance considerations tied to regulating authority oversight.

The clinic successfully opened its second location with stronger legal infrastructure: a compliant workforce structure, reduced lease exposure, and clear privacy and marketing safeguards.

  • Encino Business Counsel accepts applications four times per year, shortly before each quarter begins.
    Encino Growth Counsel accepts applications on a rolling basis, with limited availability.
